Terms of Service

1. Introduction

These Terms of Service govern your access to and use of the online store operated by IMPND ApS, including the website, online store, product information, content, functions, tools and related services collectively referred to as the “Services.”

The technical e-commerce infrastructure used to provide the online store is supplied by Shopify.

These Terms of Service, together with our Privacy Policy, Return and Refund Policy, Shipping Policy and other policies displayed through the Services, form part of the agreement between you and us.

By accessing the Services, creating an account, placing an order or otherwise using the Services, you agree to comply with these Terms.

If you do not agree with these Terms, you should not use the Services.

Nothing in these Terms is intended to exclude, restrict or reduce any mandatory consumer right that cannot legally be waived.

  • Payment information; and

  • Other information reasonably necessary to process your order.

You are responsible for:

  • Maintaining accurate account information; and

  • Activity carried out through your account where reasonably attributable to you.

You must not sell, transfer, assign or share your customer account without authorization.

5. Product Information

We take reasonable steps to ensure that product descriptions, specifications, prices and images displayed through the Services are accurate.

However, actual product appearance may vary slightly because of:

  • Screen settings;

  • Device characteristics;

  • Lighting;

  • Photography;

  • Manufacturing variations; or

  • Product improvements.

Product images are provided for illustrative and informational purposes.

We may correct or update product descriptions, specifications, images or other information where reasonably necessary.

We may also:

  • Modify or discontinue products;

  • Introduce updated versions;

  • Limit available quantities;

  • Restrict sales to certain locations; or

  • Correct inaccurate product information.

Nothing in this section limits mandatory rights relating to defective, incorrectly described or non-conforming products.

6. Product Availability

All products are subject to availability.

Adding a product to your shopping cart does not reserve the product or guarantee that it will remain available.

If a product becomes unavailable after an order is submitted, we may:

  • Cancel the affected item;

  • Offer an appropriate alternative;

  • Request further instructions; or

  • Refund any amount already paid for the unavailable product.

7. Placing an Order

Submitting an order constitutes an offer to purchase the products selected by you.

An automated order acknowledgment confirms that the order has been received but does not necessarily mean that it has been accepted.

A purchase agreement may be formed when we:

  • Confirm acceptance of the order;

  • Confirm that the order has been dispatched; or

  • Otherwise expressly confirm acceptance.

Please review all order information carefully before completing checkout.

Once an order has entered processing or fulfilment, changes or voluntary cancellation may no longer be possible.

Any statutory cancellation or withdrawal rights remain unaffected.

8. Order Rejection or Cancellation

We may reject or cancel an order where reasonably necessary, including where:

  • A product is unavailable;

  • Payment cannot be authorized or verified;

  • Billing or delivery information is materially incorrect;

  • Fraudulent or unauthorized activity is reasonably suspected;

  • An obvious pricing or product-information error has occurred;

  • Purchase limits have been exceeded;

  • Delivery to the supplied address is unavailable; or

  • Processing the order would violate applicable law.

If payment has already been collected for an order that we cancel, the relevant amount will be refunded through the original payment method unless another method is agreed or required.

9. Lawful Purchases

Products must not be purchased through the Services for:

  • Fraudulent transactions;

  • Unlawful resale;

  • Illegal export;

  • Sanctions evasion;

  • Misrepresentation; or

  • Any other unlawful purpose.

We may restrict quantities or cancel an order where there are reasonable grounds to believe that the Services are being misused.

10. Prices and Promotions

The applicable product price will normally be the price displayed when the order is submitted.

Prices, discounts and promotional offers may change from time to time.

A price change will not normally affect an order that has already been accepted, except where an obvious pricing error has occurred and applicable law permits correction.

  • Promotional periods;

  • Product restrictions;

  • Minimum purchase requirements; and

  • Usage limits.

Specific promotion conditions will apply to that promotion where they differ from these general Terms.

11. Taxes and Additional Charges

Applicable taxes, delivery charges and other charges will be displayed during checkout where required and reasonably possible.

Cross-border orders may be subject to:

  • VAT;

  • Customs duties;

  • Import taxes;

  • Customs clearance fees;

  • Handling charges; or

  • Other charges imposed by authorities.

Where these charges are not expressly stated as included in the purchase price, the customer may be responsible for charges imposed by the destination country's authorities.

Customers are responsible for ensuring that products ordered may lawfully be imported into the delivery destination.

12. Payment

You agree to provide accurate and complete billing and payment information.

By submitting payment information, you confirm that:

  • You are authorized to use the selected payment method;

  • The information provided is correct; and

  • You authorize the relevant payment provider to process the transaction.

Payments may be processed through Shopify, banks, payment networks, payment gateways or other independent payment service providers.

Available payment methods may vary according to:

  • Order value;

  • Product;

  • Delivery method; or

  • Other applicable factors.

We may delay or cancel an order if payment cannot reasonably be authorized or verified.

13. Fraud Prevention

  • Payment fraud;

  • Account abuse; and

  • Other suspicious transactions.

Where there are reasonable grounds to suspect fraud or unauthorized activity, we may:

  • Cancel an order.

14. Shipping and Delivery

Shipping and delivery are subject to our Shipping Policy.

Delivery periods displayed through the Services are estimates unless expressly stated otherwise.

Delivery may be affected by circumstances including:

  • Carrier delays;

  • Customs inspections;

  • Incorrect delivery information;

  • Severe weather;

  • Public holidays;

  • Transportation interruptions;

  • Regulatory restrictions;

  • Strikes;

  • Natural disasters; or

  • Other events outside our reasonable control.

Customers are responsible for providing accurate and complete delivery information.

If delivery fails because an incorrect or incomplete address was provided by the customer, reasonable additional delivery costs may be charged where permitted by law.

For consumer purchases, risk of loss or damage generally passes to the customer when the customer, or another person designated by the customer other than the carrier, takes physical possession of the goods.

15. Returns and Right of Withdrawal

Returns, exchanges and refunds are governed by our Return and Refund Policy.

Consumers in the European Union or European Economic Area may have a statutory 14-day right of withdrawal for eligible distance purchases.

Where this right applies:

  • The consumer may withdraw without providing a reason;

  • The withdrawal must be communicated within the applicable legal period;

  • The goods must be returned within the applicable period; and

  • The consumer is responsible for the direct cost of returning the goods where this responsibility was properly disclosed.

For defective, damaged, incorrectly supplied or otherwise non-conforming products, return costs and remedies will be handled according to applicable law and our Return and Refund Policy.

Our voluntary 30-day return policy provides additional return options and does not replace mandatory statutory consumer rights.

Return and withdrawal requests may be sent to support@adasd.shop. Please follow the instructions in our Return and Refund Policy before sending any goods back.

These provisions follow the return structure in the supplied Terms reference.

16. Refunds

Approved refunds will normally be issued using the original payment method unless another method is agreed or required by law.

Refund processing time may depend on:

  • The reason for the return;

  • The payment method;

  • When the returned goods are received;

  • When proof of return is provided; and

  • Processing times of the relevant payment provider.

Where a statutory withdrawal right applies, refunds will be handled within the legally required period.

Where permitted by law, a refund may be withheld until:

  • The returned goods have been received; or

  • Sufficient evidence that the goods were returned has been provided.

17. Intellectual Property

Content made available through the Services may be protected by intellectual property laws.

This may include:

  • Business names;

  • Logos;

  • Product names;

  • Product descriptions;

  • Photographs;

  • Graphics;

  • Videos;

  • Audio;

  • Text;

  • Designs;

  • Website layouts;

  • Software; and

  • Icons.

Such content may belong to IMPND ApS, Shopify, licensors, service providers or other rights holders.

Unless expressly authorized, you must not:

  • Copy protected content;

  • Reproduce or republish content;

  • Modify or adapt protected material;

  • Distribute protected material;

  • Create unauthorized derivative works;

  • Commercially exploit protected material;

  • Remove copyright or intellectual-property notices; or

  • Use protected content to mislead others.

Nothing in these Terms transfers ownership of intellectual property to you.

The reference Terms similarly restrict unauthorized copying, modification, distribution and commercial exploitation of protected store content.

18. Customer Reviews and Submitted Content

Where the Services allow reviews, comments, photographs, videos, suggestions or other content to be submitted, you retain ownership of your original content.

By submitting content, you authorize us to use it for legitimate purposes connected with the Services, including:

  • Operating the Services;

  • Displaying customer reviews;

  • Responding to feedback;

  • Improving products or Services; and

  • Marketing where legally permitted.

You confirm that submitted content:

  • Is accurate to the best of your knowledge;

  • Is owned by you or submitted with appropriate permission;

  • Does not infringe another person's rights;

  • Is not unlawful or intentionally misleading;

  • Is not abusive, defamatory or obscene; and

  • Does not contain malicious software.

We may remove or refuse content that violates these Terms or applicable law.

19. Third-Party Tools and Services

The Services may include tools, integrations or functions provided by independent third parties.

Your use of third-party services may be subject to their own terms, privacy policies and operating conditions.

To the extent permitted by applicable law, we are not responsible for losses caused exclusively by an independent third-party service outside our reasonable control.

20. Third-Party Links

The Services may contain links to websites, applications or platforms operated by third parties.

We do not necessarily own or control such third-party services.

When you leave our Services, the third party's own terms and privacy practices may apply.

Any transaction completed directly with an independent third party is between you and that third party.

21. Shopify

Our online store is hosted and supported by Shopify.

Shopify may provide technical services including:

  • Store hosting;

  • Checkout technology;

  • Payment integrations;

  • Security tools;

  • Store-management functions; and

  • Data-processing services.

Unless expressly stated otherwise, products sold through our online store are sold by IMPND ApS, not Shopify.

Shopify may independently process certain personal information in accordance with its own privacy practices and applicable law.

22. Privacy

Personal information collected through the Services is handled in accordance with our Privacy Policy.

The Privacy Policy explains matters including:

We may correct inaccurate information when an error is identified.

Where an obvious error affects an order, we may, where permitted by law:

  • Cancel the affected order and provide an appropriate refund.

Mandatory consumer rights remain unaffected.

24. Prohibited Conduct

You must not use the Services:

  • To infringe intellectual property or privacy rights;

  • To harass, threaten, abuse or defame another person;

  • To distribute viruses or malicious software;

  • To obtain unauthorized access to systems or accounts;

  • To interfere with website security or performance;

  • To unlawfully collect personal information;

  • To bypass security controls; or

  • To commercially exploit the Services without authorization.

We may investigate suspected misuse and restrict access where reasonably necessary.

25. Automated Access

Automated software, robots, artificial-intelligence systems or similar tools must not interact with the Services in a manner that:

  • Circumvents security controls;

  • Conceals prohibited automated activity;

  • Ignores technical restrictions;

  • Scrapes protected content without authorization;

  • Attempts unauthorized account access;

  • Interferes with website operation; or

  • Otherwise violates these Terms.

We may use reasonable technical measures to protect the Services against unauthorized automated activity.

26. Suspension and Termination

We may suspend or terminate access to some or all of the Services where reasonably necessary because:

  • These Terms have been materially breached;

  • Fraud or unlawful activity is suspected;

  • Payment remains lawfully unpaid;

  • Security is threatened;

  • A user creates a material risk to others; or

  • Applicable law requires us to do so.

Termination does not affect rights or obligations that arose before termination.

27. Service Availability

We make reasonable efforts to keep the Services available, secure and accurate.

However, we do not guarantee that the Services will always be:

  • Uninterrupted;

  • Free from technical faults;

  • Compatible with every device or browser;

  • Completely secure; or

  • Free from temporary errors.

Nothing in these Terms excludes mandatory product guarantees, statutory conformity rights or other mandatory consumer protections.

28. Limitation of Liability

To the maximum extent permitted by applicable law, IMPND ApS will not be responsible for indirect or consequential losses that were not reasonably foreseeable when the relevant agreement was formed.

Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful, including liability relating to:

  • Fraud;

  • Fraudulent misrepresentation;

  • Intentional misconduct;

  • Death or personal injury where liability cannot legally be excluded;

  • Mandatory product liability;

  • Non-waivable consumer rights; or

  • Any other liability that cannot legally be restricted.

The supplied reference uses the same approach of limiting liability only to the extent legally permitted while preserving non-waivable consumer protections.

29. Customer Responsibility

To the extent permitted by law, a customer may be responsible for reasonable losses arising directly from:

  • Unlawful use of the Services;

  • A material breach of these Terms;

  • Infringement of third-party rights; or

  • Content submitted without necessary rights or authorization.

Customers are not responsible for losses caused by our own unlawful conduct or breach.

30. Force Majeure

We will not be responsible for a failure or delay caused by events outside our reasonable control.

Such events may include:

  • Natural disasters;

  • Extreme weather;

  • War;

  • Civil unrest;

  • Government action;

  • Epidemics;

  • Strikes;

  • Transportation disruption;

  • Telecommunications failures;

  • Power outages;

  • Customs restrictions; or

  • Failures of third-party infrastructure.

Where such circumstances affect an order, reasonable steps will be taken to reduce their impact.

Mandatory consumer rights remain unaffected.

31. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be applied to the fullest extent legally permitted.

Any invalid portion may be separated from the remaining Terms without affecting the validity of the remaining provisions.

32. No Waiver

If we delay or fail to enforce a right under these Terms, this does not automatically mean that the right has been waived.

A waiver applies only to the specific matter for which it is given.

33. Entire Agreement

These Terms, together with the policies incorporated by reference, form the agreement governing your use of the Services.

They replace earlier versions relating to the same subject matter.

Nothing in this section excludes information that legally forms part of a consumer purchase contract.

This follows the structure of the supplied reference Terms.

34. Assignment

You may not transfer your account or contractual obligations to another person without authorization, except where applicable law permits such transfer.

We may transfer our rights and obligations as part of a legitimate:

  • Business sale;

  • Merger;

  • Restructuring; or

  • Transfer of business assets.

Any such transfer will not reduce mandatory consumer rights.

35. Governing Law and Disputes

These Terms and purchases made through the Services are subject to applicable law.

Nothing in these Terms removes mandatory consumer protection rights that apply to you under the laws of your country of residence.

Where a dispute arises, the parties are encouraged to attempt to resolve the matter directly before beginning formal proceedings.

For questions, complaints or an attempt to resolve a dispute directly, please contact support@adasd.shop.

Where a dispute cannot be resolved directly, consumers may have the right to refer the matter to an appropriate consumer dispute-resolution body or competent court.

Nothing in these Terms requires a consumer to waive the right to bring a claim before a court that has jurisdiction under applicable consumer law.

36. Changes to These Terms

We may update these Terms where reasonably necessary to reflect:

  • Changes to the Services;

  • Changes in business practices;

  • Changes in technology;

  • Legal or regulatory requirements;

  • Security developments; or

  • Other legitimate operational reasons.

The current version and effective date should be made available through the Services.

Where required by law, additional notice may be provided before a material change takes effect.

Changes will not retroactively remove rights arising from an already completed purchase unless applicable law permits this.
